1. What the App does

PlaceStock lets you place your own stock with partner points of sale, record what was delivered and what remains, and give each partner a portal where they register sales and request restocks.

The App keeps internal records. It does not create orders in Shopify, does not process payments, and does not settle money between you and your partners. In advanced mode it moves inventory quantities between your own Shopify Locations.

2. Eligibility and account

You must have an active Shopify store and the necessary permissions to install applications in it. You are responsible for everything done through your store’s account.

3. The commercial relationship with your partners is yours

The consignment agreement between you and each partner — ownership of the goods, commission, payment terms, liability for loss or damage, and returns — is entirely between you and them. The App is a record-keeping tool and is not a party to that relationship.

You are responsible for the accuracy of what is recorded in the App and for any commercial decision taken on the basis of it.

4. Partner accounts and their data

When you register a partner, the App creates credentials for the partner portal. You are responsible for distributing those credentials safely and for deactivating partners who should no longer have access.

You are the controller of your partners’ personal data. You confirm that you have a lawful basis to enter it and that you have informed your partners that it is processed through the App. See the Privacy Policy.

5. Subscription, trial and billing

The App is offered on monthly plans charged through Shopify Billing, measured by the number of active partners: Starter (US$ 14.99/month, up to 30 partners), Growth (US$ 19.99/month, up to 100) and Unlimited (US$ 49.99/month, unlimited). All plans include a 7-day free trial. Development stores may use the App at no cost.

Charges are processed by Shopify and appear on your Shopify invoice. Cancelling is done by uninstalling the App; the cancellation follows Shopify’s billing rules, and partial periods are not refunded except where required by law.

Prices may change. We will give notice before a change takes effect for your store.

6. Inventory in advanced mode

In advanced mode the App writes to your Shopify inventory: it moves quantities from your general stock into the Location assigned to a partner. You are responsible for choosing this mode and for reviewing the resulting inventory levels.

We are not liable for inventory discrepancies arising from data entered incorrectly, from changes made outside the App, or from failures in Shopify’s inventory APIs.

7. Availability and support

We work to keep the App available, but we do not guarantee uninterrupted or error-free operation. Maintenance, third-party failures or changes to Shopify’s APIs may affect availability.

8. Intellectual property

The App, its code, interface and brand are owned by us. These Terms grant you a limited, non-exclusive, non-transferable licence to use the App while your subscription is active.

Your data — your products, partners, placements and sales records — remains yours.

9. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental or consequential damages, including lost profits, lost revenue, or loss of goods placed with partners, arising from the use or inability to use the App.

Our total liability in connection with the App is limited to the amount you paid for it in the twelve months preceding the event giving rise to the claim.

10. Suspension and termination

You may stop using the App at any time by uninstalling it from your store. We may suspend or terminate access in case of a breach of these Terms, non-payment, or a legal requirement.

On termination, the data associated with your store — including partner records — is deleted as described in the Privacy Policy. Export anything you need before uninstalling.

11. Changes to these Terms

We may update these Terms. Material changes will be reflected by updating the “Last updated” date at the top of this page. Continuing to use the App after a change means you accept the updated Terms.

12. Governing law and jurisdiction

These Terms are governed by the laws of Brazil. Any dispute will be submitted to the courts of Terra Rica, State of Paraná, Brazil, to the exclusion of any other.
